RESUMO:

The executive compensation has being forming as object of interest of actors like academy, government, investors and media. At the literature, the compensation is seized as a mechanism which is capable to line up the interests between the principal and the agent, also acting as a corporative government structure aimed to combat the transaction costs. Despite, the compensation can also be used as a discretionary actions instrument. In the context of this debate, the present study defends the importance of to study the many aspects that influence the different types of executive compensation. On this way, it contributes with the literature because it involves, at its analysis, a wide variable numbers, related to the firm, administration and directorship counsel, and these variables are capable to affect the compensations. It still collaborates, when it brings references which are not so used in the accountability, as an example the contract theory and general power. Lastly, it cooperates with many institution and actors for a better understanding and evaluation of the addressed thematic. In short, it is intended to investigate the elements, associated with the characteristics of the firm, of the administration and directorship counsel, that explain the received compensation by the executives of listed companies at the BM&BOVESPA in the period 2010-2016. The dates will be collated on the forms of reference, on the social statutes of the companies – both are available at the electronic site of CVM – and data base Bloomberg. The research universe will be composed by all the companies of open capital listed at BM&BOVESPA, in a total of 400 companies. To achieve the goal of the research, it will be estimated a regression with disposed data on panel, it can be used the estimators methods OLS, in case of exogeneity, or instrumentals varables and simultaneous equations method, in case of the endogeneity be present.
