Corporate governance has gained notorious space in governmental and academic interest in recent years, and has been viewed as a tool for preventing economic crises by increasing the reliability of companies. International organizations have proposed to disseminate good practices in the area through the publication of principles and guidelines, as well as by fostering academic studies on the effects of good governance. Meanwhile, different countries have been reforming their legislation to implement these best practices. In Brazil, following successive cases of corruption involving state-owned companies, Law 13.303 / 16, known as the State-Owned Liability Law, was enacted in June 2016, which provides recommendations for improving the corporate governance of Brazilian state-owned companies. Against this backdrop, this paper seeks to evaluate the adoption of new legislation on three aspects: the alignment of the regulation with international governance principles, the implementation of practices by companies, and the effect on corporate performance. Using the “G20 / OECD Principles of Corporate Governance” document, published in 2015, as a reference basis, the study first analyzes the content of the new legislation, evaluates the 27 state-owned companies outstanding on the São Paulo Stock Exchange (BOVESPA) in relation to the implementation of the law recommendations, and finally, through different quantitative methods (Difference in Differences, Propensity Score Matching and Panel Data) analyzes the practical results of the adoption of the innovative practices inserted by the legislation in the performance of these companies.
